Bumble is looking for an experienced and efficient Corporate & Securities Paralegal to join our global in-house Legal team and support the company’s securities and corporate governance functions. Along with providing support to the Legal team, the role may also include basic contract drafting, such as for commercial contracts, confidentiality agreements, and consulting agreements.


The ideal candidate will have a minimum of 5 years’ experience in a similar role working on corporate and securities matters in an in-house environment. The role will be based in the US reporting into the VP & Assistant General Counsel.

What you'll be doing
  • Support all aspects of the company’s securities and corporate governance functions and work collaboratively with other members of the legal team on initiatives and support
  • Manage corporate and subsidiary minute booksDraft board and corporate resolutions
  • Assist in the preparation of board and committee calendars 
  • Manage entities, including filing and tracking annual reports and assumed name filings with applicable states
  • Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, and proxy statements) and associated disclosure control processes
  • Oversee of all Section 16 matters, including preparing and filing Forms 4, under the supervision of an attorney
  • Assist in the administration of the insider trading policy, including managing trading window logistics, pre-clearance and windows lists and organizing/tracking 10b5-1 trading plans
  • Assist in the company’s processes for Director and Officer Questionnaires, including related person transaction tracking and updating corporate records with cross-functional teams
  • Be responsible for overall maintenance of the Diligent electronic board portal
  • Work with the external auditor on quarterly reviews and year-end audit
  • Assist with general corporate governance matters, including benchmarking best practices, and other special projects or tasks on an as-needed basis
  • Handle miscellaneous administrative tasks for the Assistant General Counsel, Deputy General Counsel and Chief Legal & Compliance Officer 
  • Resolve routine legal issues based on attorney guidance
  • Rely on experience and good judgment to accomplish goals and escalate material issues


About you
  • 5+ years’ experience as a corporate paralegal, preferably with experience at a public company
  • Bachelor’s Degree, Paralegal Certification, or equivalent experience
  • In-house experience in a tech environment strongly preferred
  • Experience drafting, revising, reviewing, and negotiating contracts is a plus
  • You are an excellent teammate with experience partnering with and supporting paralegal peer groups
  • You have outstanding time-management, attention to detail and prioritization skills, with the ability to manage multiple priorities under short deadlines
  • You have strong verbal and written communication skills
  • You are able to maintain the highest level of confidence, integrity and business ethics
  • You have the desire to maintain a strong general understanding of emerging trends and changes to commercial laws and regulations and their enforcement
  • Proficient in MS Office Suite (specifically Word, Excel and PowerPoint) and SharePoint
  • Knowledge of SEC’s EDGAR filing system
  • Knowledge of Diligent is a plus
